1. Agreement to Terms
By using the Mooring Digital website (mooringdigital.com) or engaging our services, you agree to these Terms of Service. If you do not agree, please do not use our site or services. These terms apply to all visitors, clients, and anyone who accesses or uses our services.
2. Services
Mooring Digital provides web design, digital marketing, social media management, local SEO, and related services to small businesses and contractors. Specific deliverables, timelines, and pricing for any engagement are outlined in the proposal or agreement provided to you prior to project start.
3. Client Responsibilities
To allow us to deliver our services effectively, clients agree to:
- Provide accurate business information, content, and materials in a timely manner
- Designate a point of contact who can provide approvals and feedback
- Respond to requests for review or approval within a reasonable timeframe (typically 5 business days)
- Ensure all materials provided to us (logos, photos, content) are owned or licensed by you
4. Payment Terms
One-time project fees (such as website design) are invoiced as agreed in the project proposal — typically 50% upfront and 50% upon launch. Monthly service fees are billed at the start of each billing cycle. Invoices are due within 15 days of receipt. Late payments may result in pausing of services.
5. Month-to-Month Services
All ongoing monthly services (social media management, SEO, etc.) are month-to-month with no long-term contract required. Either party may cancel with 30 days written notice. You will not be charged for any period after your cancellation date.
6. Ownership of Work Product
Upon receipt of full payment, you own all deliverables produced for your project — including your website code, design files, and content. You also retain full ownership of all your accounts (domain, hosting, Google Business, social media). We will provide all credentials and transfer access upon project completion.
We retain the right to showcase completed work in our portfolio and marketing materials unless you request otherwise in writing.
7. Revisions
Each project includes a defined number of revision rounds as specified in your proposal. Revisions are defined as reasonable modifications within the original project scope. Requests that represent a significant change in direction or add substantial new features may be quoted as additional work.
8. Satisfaction Guarantee
We stand behind our work. If you are not satisfied with a delivered website, we will work with you to address your concerns within 30 days of launch. If we are unable to resolve the issue to your satisfaction, we will provide a refund at our discretion. This guarantee applies to the initial website design only and does not apply to ongoing monthly services.
9. Limitation of Liability
Mooring Digital's total liability to any client for any reason shall not exceed the amount paid by that client for the specific service in question during the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or business interruption.
We are not responsible for results dependent on third-party platforms (Google algorithm changes, Facebook policy changes, etc.) that are outside our control.
10. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of an engagement. We will not disclose your business strategies, pricing, or other sensitive information to third parties.
11. Third-Party Tools and Services
Our services may involve the use of third-party tools (Google Ads, Meta Ads, hosting providers, etc.). You are responsible for complying with the terms of service of any third-party platforms used on your behalf. We are not responsible for changes to third-party platforms, pricing, or availability.
12. Governing Law
These terms are governed by the laws of the State of Rhode Island. Any disputes shall be resolved in the courts of Providence County, Rhode Island.
13. Changes to Terms
We may update these terms from time to time. We'll notify active clients of material changes via email. Continued use of our services after changes are posted constitutes acceptance.
